These Terms of Use ("Terms") are between you and Florid Innovations LTD, trading as florid.io ("florid.io", "we", "us" or "our").

By accessing or using florid.io or another florid.io webpage or public service that links to these Terms (collectively, the "Site"), you agree to these Terms. If you do not agree, do not use the Site.
02Scope of these Terms
These Terms apply to:
- browsing the Site;
- submitting project enquiries or consultation requests;
- downloading materials made available through the Site;
- using interactive website features; and
- using other public functionality that expressly incorporates these Terms.
These Terms do not, by themselves, govern paid consulting, bespoke development, managed services, hosted software, Ririkana, rental-management software, POS or multicommerce products, or any other product where a separate agreement applies.
Where you or your organisation enters into a separate written agreement with florid.io, that agreement governs the relevant services and takes priority over these Terms where the documents conflict.
03Eligibility and authority
You may use the Site only if you can lawfully enter into these Terms under applicable law.
If you use the Site on behalf of a company, organisation or other legal entity, you represent that you have authority to act on that entity's behalf in relation to your use of the Site.
The Site is not intended to create a contractual relationship with a child merely through ordinary browsing. Where a product or service has a specific age requirement, that requirement will be stated in the relevant product terms.
04Permitted use
You may use the Site for lawful purposes, including:
- learning about florid.io and our studio;
- reviewing our portfolio work and capabilities;
- contacting us regarding potential projects;
- reading our publications and insights;
- accessing resources we make publicly available; and
- using public tools in the manner for which they are provided.
Your use must comply with these Terms and our Acceptable Use Policy.
05Enquiries and proposals
Submitting a project enquiry does not create an obligation for florid.io to accept the project and does not create a client relationship.
Information submitted through enquiry forms may be used to:
- assess the request and project feasibility;
- contact you to schedule discovery discussions;
- prepare a proposal or scope of work;
- manage pre-contract discussions; and
- maintain reasonable records of the enquiry.
A binding commercial relationship begins only when the relevant agreement, proposal, order form or statement of work has been accepted in the manner specified in that document.
06Intellectual property
Unless otherwise stated, the Site and its original content, visual identity, illustrations, interface design, text, graphics, software, trademarks, logos and other materials are owned by or licensed to florid.io and are protected by applicable intellectual-property laws.
You may:
- view the Site in a web browser;
- make reasonable personal or internal-business use of publicly available information; and
- share links to public pages.
You may not, without our prior written permission:
- reproduce substantial portions of the Site for commercial use;
- sell, sublicense or commercially exploit Site materials;
- remove ownership or attribution notices;
- use florid.io branding in a way that implies endorsement or affiliation;
- copy the visual design or source code in a manner that infringes our rights; or
- use protected materials beyond any licence expressly provided.
Any rights not expressly granted are reserved.
07Portfolio and third-party materials
Case studies and work showcases may contain client names, trademarks, screenshots, product interfaces, project imagery, metrics or other materials owned by clients or third parties.
Those materials remain subject to the rights of their respective owners. Nothing on the Site grants you a licence to use a client's trademarks or proprietary materials.
Where a project is confidential, florid.io publishes only content that we are authorised to disclose.
08User submissions
If you submit text, files or other material through the Site, you retain ownership of your content.
You grant florid.io a limited licence to receive, host, process, transmit and review that content to the extent reasonably necessary to respond to your request, operate the relevant feature, protect the Site and comply with law.
You represent that you have the right to provide the content and that its submission does not unlawfully infringe another person's rights.
Do not submit confidential, sensitive or regulated information through a general contact form unless the form specifically requests it and an appropriate process has been established.
09AI-enabled features
Some florid.io pages or services may include AI-assisted or automated functionality. Where such functionality is available:
- AI-generated material may be incomplete, inaccurate or inappropriate for a particular purpose;
- outputs should be reviewed by an appropriate person before important action is taken;
- you remain responsible for decisions made using outputs, subject to any separate written agreement;
- additional terms apply under our AI & Automation Terms; and
- where a paid product has its own AI terms, those product terms control.
Do not rely on public AI functionality for medical, legal, financial, safety-critical or other high-impact decisions unless the relevant service is expressly designed and contractually approved for that use.
10Third-party links and services
The Site may link to services operated by third parties. A link does not necessarily mean that florid.io endorses the third party.
Third-party websites, platforms and services are governed by their own terms and privacy practices. We are not responsible for third-party content or services merely because the Site links to them.
11Site availability
We aim to operate the Site reliably, but we do not guarantee uninterrupted or error-free availability.
We may modify the Site, remove or add content, perform maintenance, restrict access where necessary for security, or discontinue website features. Where a separate paid service includes uptime or support commitments, those commitments will be stated in the relevant service agreement.
12No professional advice
Unless a specific written agreement says otherwise, information on the Site is provided for general informational purposes.
Site content does not constitute legal, tax, financial, medical or other regulated professional advice. You should obtain appropriate professional advice where your circumstances require it.
13Security
You must not attempt to:
- gain unauthorised access to the Site or connected systems;
- bypass access controls or authentication mechanisms;
- probe or scan for vulnerabilities without prior written authorisation;
- introduce malware, viruses or malicious code;
- disrupt service availability or overload infrastructure; or
- misuse credentials or authentication tokens.
Authorised security research must be conducted only under a written scope approved by florid.io. Our Acceptable Use Policy contains additional restrictions.
14Privacy
Our processing of personal data in connection with the Site is described in our Privacy Notice.
Where florid.io processes personal data on behalf of a business customer as a processor, that processing is governed by a Data Processing Agreement or other customer contract.
15Consumer rights
Nothing in these Terms excludes or limits rights that cannot lawfully be excluded under applicable Kenyan consumer-protection law (including the Consumer Protection Act, Cap. 501).
Where florid.io offers an internet or remote consumer agreement, any disclosures, confirmation, cancellation rights or other statutory requirements will apply in addition to these Terms.
16Disclaimers
To the extent permitted by law, the Site is provided on an "as is" and "as available" basis.
We do not warrant that every item of information will always be complete or current, the Site will be uninterrupted, the Site will be free from every technical defect, or public materials will meet a particular user's specific requirements. This section does not limit liability that cannot lawfully be excluded.
17Limitation of liability
To the extent permitted by applicable law, florid.io will not be liable for indirect, incidental or consequential loss arising solely from use of the public Site where such liability may lawfully be limited.
Nothing in these Terms excludes or limits liability where exclusion is prohibited by law, for fraud or fraudulent misrepresentation, for wilful misconduct where liability cannot lawfully be excluded, or for another category of liability that applicable law requires to remain unrestricted.
Any liability allocation for paid services is governed by the relevant signed agreement.
18Indemnity
If you use the Site on behalf of a business or organisation, you agree, to the extent permitted by law, to be responsible for losses or claims arising from your organisation's unlawful use of the Site or material breach of these Terms.
This clause does not require a consumer to indemnify florid.io where such an obligation would be unlawful or unfair under applicable consumer law.
19Suspension and enforcement
We may restrict or block access to the Site where we reasonably believe this is necessary to protect users or systems, address unlawful activity, enforce these Terms, respond to security threats or comply with a legal obligation.
We may preserve relevant records where reasonably necessary for security, investigation, dispute resolution or legal compliance.
20Changes to these Terms
We may update these Terms from time to time. The current version will be published on this page with a revised "Last updated" date.
If a change materially affects an ongoing registered service, we will provide any additional notice required by the applicable product agreement or law.
21Governing law and disputes
These Terms are governed by the laws of Kenya, unless mandatory law applicable to you requires otherwise.
Subject to any mandatory consumer rights or an applicable written dispute-resolution agreement, the courts of Kenya will have jurisdiction over disputes arising from these website Terms.
22General
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect to the extent permitted by law.
A failure by florid.io to enforce a provision immediately does not waive our right to enforce that provision.
Headings are provided for readability and do not alter the legal meaning of these Terms.
